邵春阳先生自 2024 年 5 月起担任本公司独立董事。邵先生是君合律师事务所资深合伙人，其专业领域涵盖企业法务、外资事务、房地产、并购（M&A）、证券、基础设施及项目融资等。邵先生于 2002 年 4 月加入君合律师事务所，长期为各类跨国公司和投资基金提供在中国投资与并购事务的法律支持，并作为发行人或承销商的中国法律顾问，参与多家国内外大型企业集团和高增长型企业境内外股份发行、上市及债券发行项目。

在此之前，邵先生于 1995 年至 2001 年在多家国际知名律师事务所的伦敦、香港及中国内地办事处任职，包括 Simmons & Simmons（任中国法律顾问）和 Sidley Austin（任资深中国法律顾问）。期间，他广泛参与外国直接投资、证券发行及上市事务（包括 B 股、H 股及红筹股在境内外、香港、伦敦和美国证券交易所的上市）、风险投资、项目融资及房地产相关业务，为众多知名跨国公司提供法律服务。

邵先生分别于 1987 年和 2002 年获得华东政法大学法律学士学位和硕士学位。1993–1994 年，邵先生赴英国参加中英青年律师交流项目，担任访问学者。

Independent Director

Mr. Chunyang Shao has served as our independent director since May 2024. Mr. Shao is a partner at the law firm JunHe LLP and currently practices at its Shanghai office as managing partner. Mr. Shao specializes in corporate law, foreign investment, real estate, mergers and acquisitions (“M&A”), securities, infrastructure and project finance.

Mr. Shao joined JunHe in April 2002 and has since represented various multinational corporations and investment funds in their investments and M&As in China. From 1995 to 2001, Mr. Shao worked in the London, Hong Kong and mainland China offices of major international law firms, including Simmons & Simmons (as Chinese legal counsel) and Sidley Austin (as senior legal consultant), and was involved extensively in foreign direct investment, securities (including B-share, H-share, and red chip listing on the stock exchanges in mainland China, Hong Kong, London and the U.S.), venture capital, project finance and real estate matters, representing a number of well-known multinational companies.

Mr. Shao obtained his Master degree and Bachelor degree of Laws from East China University of Political Science and Law in 2002 and 1987, respectively.
